Terms of Service

These Terms of Service ("Terms") govern your access to and use of the TheBrokerWebsite platform and related services (the "Service") operated by TheBrokerWebsite LLC ("TBW," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility and Access

The Service is available to licensed insurance agencies, MGAs, FMOs, and their authorized agents and personnel. Access to the Service is invitation-based. We reserve the right to approve or deny access requests at our sole discretion.

You must be at least 18 years old to use the Service. By creating an account or using the Service on behalf of an agency, you represent that you have the authority to bind that agency to these Terms.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@thebrokerwebsite.com if you suspect any unauthorized access to your account.

Agency administrators are responsible for managing user access within their hierarchy, including granting and revoking permissions for agents and sub-agency users.

You agree to use the Service only for its intended purpose: managing commission data, agent operations, and related agency workflows. You agree not to:

You retain ownership of all data you upload to or generate through the Service ("Your Data"). By using the Service, you grant TBW a limited, non-exclusive license to process, store, and display Your Data solely for the purpose of providing and improving the Service.

You are responsible for the accuracy and legality of Your Data. You represent that you have the right to upload and process all data you provide, including agent information, client records, and carrier commission statements.

Upon termination of your account, you may request an export of Your Data within 30 days. After that period, we may delete Your Data in accordance with our data retention policies.

5. Fees and Payment

Access to the Service requires a paid subscription. Fees are billed monthly and are due at the beginning of each billing cycle. All fees are non-refundable. If you cancel your subscription, you will retain access through the end of your current billing period.

We reserve the right to change our pricing with 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

If payment fails or your account becomes past due, we may suspend access to the Service until the balance is resolved.

6. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance, and from time to time the Service may be temporarily unavailable due to updates, technical issues, or circumstances beyond our control.

We are not liable for any losses or damages resulting from Service downtime or interruptions.

7. Intellectual Property

The Service, including its design, features, code, documentation, and branding, is the property of TheBrokerWebsite LLC and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without our written consent.

8. Limitation of Liability

To the maximum extent permitted by law, TBW shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, data, or business opportunities, arising from your use of or inability to use the Service.

Our total aggregate liability for any claims arising from or relating to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

The Service is a tool for managing commission data and agency operations. TBW does not provide financial, legal, tax, or insurance advice. You are solely responsible for verifying the accuracy of commission calculations, payout amounts, and any decisions made based on data within the Service.

9. Indemnification

You agree to indemnify and hold harmless TheBrokerWebsite LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Termination

Either party may terminate the subscription at any time. You may cancel by contacting us at support@thebrokerwebsite.com. Cancellation takes effect at the end of the current billing period.

We may suspend or terminate your access immediately if you violate these Terms, engage in fraudulent activity, or if continued access poses a security risk to the Service or other users.

Upon termination, your right to use the Service ceases. Sections regarding intellectual property, limitation of liability, indemnification, and governing law survive termination.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Utah, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Utah.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective Date" at the top of this page and notify you of material changes via email or through the Service. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
